6. CONFIDENTIALITY
Both Parties agree to keep confidential any sensitive business, personal, or proprietary information shared during the engagement. Coach will not disclose Client's information to any third party without written consent, except as required by law.
Client agrees to treat any proprietary tools, frameworks, or processes shared by Coach as confidential. This obligation survives the end of this Agreement.
7. INDEPENDENT CONTRACTOR
Coach is an independent contractor, not an employee, partner, or agent of Client. Coach is solely responsible for all taxes, insurance, and business expenses. Client is not responsible for benefits, workers' compensation, or employment-related obligations.
8. DISCLAIMER & NO GUARANTEES
Coaching is not therapy, counseling, legal, financial, or medical advice. Coach does not guarantee specific outcomes, results, or financial gains. Client is responsible for their own decisions and results.
Client has reviewed Coach's background and enters this Agreement with a reasonable expectation of the coaching experience based on that review.
9. LIMITATION OF LIABILITY & INDEMNIFICATION
Coach's total liability under this Agreement is limited to the fees paid by Client in the 3 months immediately preceding the claim. Coach is not liable for indirect, consequential, or incidental damages of any kind.
Client agrees to indemnify and hold Agent, Coach, partners, members, officers, directors, agents, employees, and affiliates harmless from any claims, losses, or damages arising from Client's use of coaching services or reliance on information shared in sessions.
10. GOVERNING LAW & DISPUTES
This Agreement is governed by the laws of the State of Washington. Any disputes will first be addressed through good-faith negotiation. If unresolved, disputes will be submitted to mediation or binding arbitration under the American Arbitration Association rules before any court action is pursued.
